Expertise
Our clients trust our expertise, respect our relationship and rely on our results. Here, you’ll feel the difference that an experienced team can make.
We’ve been at this awhile.
Alright, when you add it all up, a long while. 75 years of combined corporate law experience.
But here’s the good news. While much of the world has changed and corporate law is a shifting landscape of precedent, legal theory and new hills to climb, a few things remain constant, like putting in time to develop meaningful client relationships. Oh, and outcomes – we have a track record of deals and big wins for clients large and small.
Know what else? Fairness. Want more? Our long-term approach to investing in our clients’ business success. The list goes on.
None of this would be possible without intense therapy our experience.
In that time, there are a few things we know to be true.

No replacement for experience-based knowledge.
Have we seen it all?
Yes. No. But we’ve seen a lot.In our world, experience is value and risk avoidance. We have muscle memory. We can see around corners. We have gut
issuesinstincts. But they didn’t just show up one day. Our ability to forecast behavior comes from decades of deal work, and there is no AI or offshore replacement for that. We’ve sat on both sides of the table, as external legal counsel and running legal teams internally for a Fortune 500.

Your north star guides our decision making.
“What do you want?”
That’s how we start. We ask a simple question and then back into your desired outcome with expert counsel, legal advice, tools and contracts to negotiate your deal. It seems so basic, and yet too often we’ve had clients referred to us because their prior law firm didn’t understand what success meant.
We’re not perfect, but we won’t represent you until all of us agree on where we’re headed.

Speed kills.
We’ve all seen it. You could have the most
annoyingtalented lawyers from a respected firm and they could bring an impressive support team to the first discovery meeting or final negotiation. But without a sense of urgency, even the simplest deals can stall. You are a priority here. We keep a closely held client book that ensures our time and focus is dedicated to your deal. Speed can kill – here it heals. Said plainly, we have a reputation for out-pacing others – that directly impacts outcomes.
And achieved
successful
outcomes
for our clients.
Below are a few client stories we can share publicly.
Rob may be the best storyteller on the planet, so, ask him to take you to dinner and spill the beans. What you’ll hear is a deeply unserious serious person committed to the profession of law. One who takes pride in touting the stories of success he’s achieved for clients over his storied career.
It’s palpable and real. Are you ready to be the best story?
Here are few
notable ones…
Facilitated sale of middle market company to strategic partner.
Rob began representing this company in late 80’s, when it sold telephone systems to businesses. Over the decades, it evolved into full-service technology company.
We helped the company complete acquisitions and assisted in a generational transfer of ownership. Current leadership saw the timing was correct for a sale. After a strategic acquirer was located, we assisted the company in pre-closing restructuring – yes, another F-Reorg. But the client wasn’t just concerned with getting good price; they wanted a strong match for culture to continue the legacy they carefully built. We were able to help them assess the quality and nature of the buying group by using our years of insight gauging people as well as documents.
The buyer was truly a good fit for the business and the transaction closed smoothly and successfully.
Manage customer and vendor contracts for mid-market distribution company.
Mitch has worked directly with the President of a mid-market distribution company and their sales team to develop internal customer and vendor agreements to better document the company’s business relationships.
Through close collaboration, Mitch has learned about the company’s business and incorporated important aspects and nuances of the business into their agreements while creating a more streamlined process for the negotiation and drafting of such agreements. This allows the company to better protect its interests, maintain healthy relationships with its business partners and customers, and focus on what they do best.
Streamlining contract templates and processes for financial technology services company to facilitate organic and cross-sale revenue growth.
This growing company reached out to Jennifer to help them update their customer agreement forms and streamline their processes. Jennifer is leveraging her decades of in-house commercial contract experience, working with them to implement processes built on tighter templates and defined paths from proposal to execution.
We are working not only to improve their legacy templates, but also to integrate their acquired entities’ templates which will help pave the road to efficient cross-sale revenue growth.
Small Acquisition Under Time Pressure
We have worked with clients as they have grown businesses through acquisitions. We have worked with manufacturers, distribution and transportation companies who have expanded their businesses by near competitors, whether that was by geographic scope or product or service offerings.
By working closely with buy side team, we have streamlined acquisition processes to, yes, keep costs down but results always being met. That includes private equity platform companies.
